READ CAREFULLY: THIS IS A HIGHLY RESTRICTIVE, ZERO-TOLERANCE LEGAL AGREEMENT. BY INSTALLING, ACCESSING, OR EXECUTING THIS SOFTWARE, YOU ARE WAIVING SPECIFIC RIGHTS AND AGREEING TO INJUNCTIVE RELIEF AND FINANCIAL DAMAGES IN THE EVENT OF A BREACH. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU ARE DENIED ACCESS AND MUST IMMEDIATELY DESTROY ALL COPIES OF THE SOFTWARE.
This Software License Agreement ("Agreement") is a binding contract between you (the "Licensee") and Nevermore Technologies ("Licensor," "NEVERMORE," "we," or "us") for the use of the RECONCILIATION ENGINE application, including all custom autonomous AI agent platforms, TGMS architectures, local file-system event-driven loops, Unsloth API endpoint configurations, WebGL implementations, and associated algorithms (collectively, the "Software").
Licensor grants Licensee a temporary, non-exclusive, non-transferable, non-sublicensable, fully revocable, and tightly restricted license to execute the Software solely for internal business reconciliation workflows. This is a license for usage only. The Software is licensed, not sold. Licensor retains absolute ownership of the Software and all derivative data patterns generated by it.
Licensee is strictly forbidden from engaging in any of the following activities. Any violation constitutes an immediate and material breach of this Agreement:
Nevermore Technologies owns all rights, title, interest, copyrights, trade secrets, and patents in and to the Software. This includes the proprietary atomic workflow sequences, rendering engines, and all unique code logic contained therein. Licensee acknowledges that the Software contains highly valuable trade secrets of NEVERMORE, and unauthorized disclosure will cause irreparable harm.
To ensure strict compliance with this Agreement, Licensor reserves the right to monitor system telemetry, execution logs, and usage patterns. Upon Licensor’s written request, Licensee agrees to submit to a software usage audit. If a breach is discovered, Licensee shall bear all costs of the audit and face immediate legal action.
This Agreement is effective until terminated. Licensor may terminate this Agreement at any time, for any reason, without prior notice. Upon termination, Licensee’s right to use the Software ceases instantly. Licensee must immediately and permanently securely delete all instances of the Software, cached endpoints, Git repositories containing NEVERMORE code, and all accompanying documentation from their local Linux, Windows, or Mac operating environments and storage systems.
Licensee agrees that a breach of Section 2 or 3 of this Agreement will cause irreparable injury to NEVERMORE for which monetary damages would not be an adequate remedy. Therefore, NEVERMORE shall be entitled to immediate injunctive relief against such breach or threatened breach, without the necessity of proving actual damages or posting a bond, in addition to any other legal remedies available.
THE SOFTWARE IS PROVIDED EXCLUSIVELY "AS IS" AND "AS AVAILABLE." NEVERMORE TECHNOLOGIES EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEVERMORE DOES NOT WARRANT THAT THE SOFTWARE WILL BE SECURE, ERROR-FREE, OR UNINTERRUPTED.
UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL NEVERMORE TECHNOLOGIES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, PROFIT, OR HARDWARE DAMAGE) ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Licensee consents to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute arising out of this Agreement.
